Introduction to the team

Our Mergers and Acquisitions Tax (M&A Tax) practice works with owners and investors to help them ease their tax burden and quantify tax exposures in a wide range of transactions, including buy-side and sell-side, restructuring, taxable and tax-free transactions. We provide our clients with tax due diligence, tax structuring, quantitative tax modeling services, transaction agreement review and consultation and tax technical support.

  • The M&A Tax Partnerships Manager will be responsible for high-level and detailed tax and economic modeling of various complex partnership issues including formations, restructurings, acquisitions and dispositions of interests, and allocations.
  • Consultation and quantitative analysis related to complex allocations, maintenance of IRC Section 704(b) capital accounts, basis adjustments, mergers and divisions, partnership agreements, and IRC Section 704(c) considerations.
  • Collaboration with client, legal counsel, and engagement teams on efficient tax structuring and implementation
  • Develop and serve as a firm technical resource for U.S. partnership income tax aspects of due diligence and mergers and acquisitions
  • Solve complex tax, accounting and business issues, with a focus on developing tax structures and providing tax due diligence services for buy-side and sell-side transactions
  • Analyze target-company tax information to understand historical trends, quantify historic and future tax exposures, identify planning opportunities and participating in interviews with tax and accounting service providers and management
  • Tax impact modeling to quantify attribute availability, basis step-up, and structural impact on client and target tax profile
  • Assist with proposals and business development, including development of marketing materials
  • Write and co-author technical articles for publication
  • Develop and participate in public speaking opportunities at tax conferences and events
  • Bachelors in accounting or equivalent required; Master's degree in Taxation preferred
  • CPA and/or licensed attorney required
  • Minimum 4 years of tax experience preferably with a public accounting firm or law firm
  • Experience must include significant tax due diligence and merger and acquisitions tax consulting
  • Significant experience working with private equity and strategic buyers and sellers
  • Possess the ability to analyze complex business and transactional situations
  • Experience supervising and training staff
  • Strong project management and organizational skills
  • Excellent interpersonal, verbal and written communication skills
  • Ability to work effectively both as part of a team and independently
  • Ability to handle multiple priorities, tasks and simultaneous projects
  • Ability to travel as needed, approximately 20% (identify how much in %)

This is the typical range of pay for the position; however, actual pay may vary based on experience and skillset. This position may be eligible for an annual discretionary bonus. Compensation Range (Denver Market ONLY): $117,000-$197,000
